Club Constitution

1) The club shall be called Spye Park Cricket Club. 2) The objects of the club shall be: - the association in a club of persons connected with the playing and enjoyment of cricket; - the provision and maintenance of club premises at the Spye Park Estate, Chittoe, Wiltshire; - the other advantages and benefits usually associated with a club. 3) All persons of not less than 18 years old shall be eligible for senior membership. All persons of 17 years and younger shall be eligible for junior membership. 4) Every member is bound by and must submit to the rules of the club. 5) The club shall be managed by a committee of elected officers and up to a maximum of 5 elected members. The committee shall be elected at the Annual General Meeting in each year, and, subject to termination of office by resignation or otherwise, shall remain in office until their successors are elected at the Annual General Meeting following their election. The committee shall have power to fill any casual vacancy that may arise. The retiring members of the committee shall be eligible for re-election. 6) The Secretary must conduct the correspondence of the club, and have the custody of all documents belonging to the club. He must keep full and correct minutes of all proceedings, and records of all competitions of the club. 7) The Treasurer must keep the accounts of the club and must make up the annual statement of accounts and balance sheet to November in each year. The accounts and balance sheet must be made available to all members at the Annual General Meeting. 8) The property of the club must be vested in 3 trustees appointed by the committee. The trustees must deal with the property as the committee from time to time directs by resolution (of which an entry in the minute book is to be conclusive evidence). The trustees may be indemnified against risk and expense out of the club property. The trustees will hold office until death or resignation or until removal from office by the committee. Where, by reason or death, resignation, or removal it is necessary for a new trustee or trustees to be appointed, the committee must nominate the person or persons to be appointed the new trustee or trustees. For the purpose of giving effect such nomination the Chairman is now appointed as the person to appoint new trustees of the club within the meaning of the Trustee Act 1925 s.36, and he must by deed appoint the person or persons nominated by the committee. 9) The annual subscription for playing members shall be £20. Subscriptions shall be due on the 01 day of June in each year. The committee shall have power to elect as honorary life members, without payment of any further subscription, any member who shall in the opinion of the committee have rendered services to the club, but such election shall not take effect unless and until confirmed at the Annual General Meeting next ensuing after the date of such election. 10) The names of all members whose current subscription shall not have been paid before the 30 day of June in any year and who neglect to comply with a written request for payment within 7 days after the same shall have been sent to them shall be posted on the notice board of the club, and such members shall cease to be members on the expiration of 30 days unless a reason satisfactory to the committee shall be given for the delay. 11) The committee shall have power to expel any member who shall offend against the rules of the club or whose conduct shall in the opinion of the committee render him unfit for membership of the club. Before any such member is expelled, the secretary shall give him 7 days written notice to attend a meeting of the committee and shall inform him of the complaints made against him. No member shall be expelled without first having had the opportunity of appearing before the committee and answering complaints made against him nor unless two-thirds of the committee then present vote in favour of his expulsion. 12) The committee shall have power to alter the rules, but no such alteration shall take effect until the same has been confirmed at the Annual General Meeting or a special general meeting convened for the purpose. 13) The committee shall have power to make byelaws for regulating the conduct and affairs of the club provided the same are not inconsistent with these rules. Such byelaws shall be posted in some conspicuous part of the club premises and shall be binding on all the members. 14) A general meeting of the club shall be held in every year not later than the 30 day of November to transact the following business: i) to receive and, if approved, to adopt a statement of the club’s accounts to the end of the preceding year; ii) to consider, and, if approved, to sanction any duly made alteration of the rules; iii) to appoint the officers and other members of the committee; iv) to approve the election of any persons as life members v) to deal with any special matter which the committee desires to bring before the members and to receive suggestions from the members for consideration by the committee. Notice convening the general meeting shall be sent to the members not less than 10 days before the meeting and shall specify the matters to be dealt with. 15) A special general meeting may be convened at any time by the committee and shall be convened within 21 days from the receipt of a requisition in writing signed by not less than 5 members specifying the object of the meeting for any of the following purposes: i) to consider, and, if approved, to sanction any duly made alteration of the rules; ii) to deal with any special matter which the committee desires to bring before the members; iii) to remove any member or members of the committee from office and to fill any vacancy or vacancies caused by such removal iv) to deal with any special matter which the members requiring the meeting may desire to place before the club. Notice convening a special general meeting shall be sent to the members not less than 10 days before the meeting and shall specify the matters to be dealt with. 16) At committee meetings and at general meetings a chairman shall be elected to preside and he shall have a casting or additional vote in the event of an equality of votes. 17) At committee meetings (except for the purposes of Rule 16 when half the total members of the committee shall form a quorum) 5 shall form a quorum. At general meetings 10 shall form a quorum. Junior and temporary members may attend general meetings, but they shall not be entitled to vote, and they shall not be counted as part of the necessary quorum. |
